1. Introduction
These Terms and Conditions (“Terms”) govern your use of the Alpha Traccia website and the services we provide. By using the website or engaging our services, you agree to these Terms.
If you are agreeing on behalf of a company, you confirm that you have the authority to bind that company.
2. Services
Alpha Traccia provides software development, application development, custom solutions, digital marketing, search engine optimisation and marketing, and quality assurance services.
The scope, timeline and fees for any engagement are set out in a proposal, statement of work or agreement signed by both parties. In the event of a conflict, the signed document takes precedence over these Terms.
3. User Responsibilities
When using our website or services you agree to:
- Provide accurate information and keep it up to date
- Use the website only for lawful purposes
- Not attempt to gain unauthorised access to our systems or data
- Provide timely access, content and feedback required for a project to proceed
4. Intellectual Property
Unless otherwise agreed in writing, deliverables created specifically for a client are assigned to the client upon full payment. Until payment is received in full, Alpha Traccia retains ownership.
Alpha Traccia retains ownership of pre-existing tools, frameworks and know-how (“Background IP”). Where Background IP is included in deliverables, the client receives a perpetual, non-exclusive licence to use it as part of those deliverables.
The Alpha Traccia name, logo and website content are our property and may not be used without written permission.
5. Payments
Fees are set out in the applicable proposal or agreement. Unless stated otherwise, invoices are payable within 14 days of the invoice date.
Late payments may incur interest at a reasonable rate and may result in work being paused until the account is settled. Fees are exclusive of applicable taxes unless stated.
6. Confidentiality
Each party agrees to keep the other party's confidential information private and to use it only for the purpose of the engagement.
This obligation does not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by law. It survives the end of the engagement.
7. Limitation of Liability
To the extent permitted by law, Alpha Traccia is not liable for indirect, incidental or consequential losses, including loss of profit, revenue or data.
Our total liability under any engagement is limited to the fees paid by the client under that engagement in the twelve months before the claim arose.
Nothing in these Terms excludes liability that cannot be excluded by law.
8. Privacy
We process personal data in accordance with our Privacy Policy. By using the website or services you consent to that processing.
Data provided through the contact or application forms is used only to respond to your enquiry or application.
9. Termination
Either party may terminate an engagement with written notice as set out in the applicable agreement. On termination, the client pays for work completed to date and Alpha Traccia hands over completed deliverables.
We may suspend or terminate access to the website for users who breach these Terms.
10. Updates to these Terms
We may update these Terms from time to time. The date of the latest version is shown at the top of this page. Continued use of the website or services after a change constitutes acceptance of the updated Terms.
Questions about these Terms can be sent to the contact details on our Contact page.
